Welcome to Gryffi. These Terms of Service ("Terms") govern your use of our employee engagement and training platform. By using Gryffi, you agree to these Terms. Please read them carefully.

These Terms constitute a binding legal agreement between you (or the organization you represent) and Gryffi.

Payment Processing

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns related to payments.

When you purchase a subscription, your payment is processed by Paddle. Their Terms of Service and Privacy Policy apply to payment transactions.

1. Acceptance of Terms

By accessing or using Gryffi, you confirm that:

  • You have read and understood these Terms
  • You have the authority to bind your organization to these Terms
  • You are at least 16 years of age
  • Your use complies with all applicable laws and regulations

If you do not agree to these Terms, you may not use Gryffi.

2. Service Description

Gryffi is a cloud-based SaaS platform that enables organizations to create and deliver interactive employee onboarding, training, and policy experiences ("the Service"). Features include:

  • Visual journey builder for creating multi-step experiences
  • AI-powered guides for real-time assistance
  • 360° virtual spaces and interactive challenges
  • Analytics and progress tracking
  • Team collaboration and management tools

We reserve the right to modify, suspend, or discontinue any feature of the Service with reasonable notice.

3. Account Registration and Security

3.1 Account Creation

To use Gryffi, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your account information remains current

3.2 Organization Accounts

If you create an account on behalf of an organization:

  • You represent that you have authority to bind that organization
  • The organization is responsible for all users it adds to the account
  • The organization's administrator can access user activity and content
  • Individual users must comply with both these Terms and their organization's policies

4. Subscription and Payment

4.1 Subscription Plans

Gryffi offers various subscription tiers with different features and limits. Current plans and pricing are available on our pricing page.

4.2 Free Tier

Gryffi offers a free tier with limited features and usage limits. The free tier:

  • Does not require a credit card to sign up
  • Has no time limit (use it as long as you want)
  • Includes limited journeys, AI Guides, and end users
  • Can be upgraded to a paid plan at any time

You must actively choose to upgrade to a paid plan. We will never automatically convert your free account to a paid subscription.

4.3 Paid Subscriptions

  • Paid subscriptions are billed in advance on a monthly or annual basis
  • Payment is processed by Paddle.com, our Merchant of Record
  • Payment is due at the start of each billing period
  • We accept payment via credit card, PayPal, and other methods provided by Paddle

4.4 Automatic Renewal

Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will receive a reminder email before renewal. You will be charged at the then-current rates.

4.5 Price Changes

We may change our pricing with 30 days' notice. Price changes apply to renewals after the notice period. Continued use after the price change constitutes acceptance.

5. Refund Policy

All payments are processed by Paddle.com as our Merchant of Record. Paddle's refund policy applies to all purchases.

5.1 14-Day Money-Back Guarantee

You may request a full refund within 14 days of your purchase, no questions asked. This applies to:

  • New subscriptions (monthly or annual)
  • Subscription renewals
  • Plan upgrades

5.2 How to Request a Refund

To request a refund within the 14-day period:

  • Contact Paddle directly through your purchase receipt, or
  • Email us at billing@gryffi.com

Refunds are processed within 5-10 business days to your original payment method.

5.3 After 14 Days

After the 14-day period, no refunds will be provided. You may cancel your subscription at any time, and you will continue to have access until the end of your current billing period.

6. License and Intellectual Property

5.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use Gryffi for your internal business purposes during your subscription period.

5.2 Restrictions

You may not:

  • Reverse engineer, decompile, or disassemble the Service
  • Remove or modify any proprietary notices
  • Use the Service to develop competing products
  • Rent, lease, sell, or sublicense access to the Service
  • Attempt to gain unauthorized access to our systems
  • Use automated tools to access the Service without permission

5.3 Gryffi Intellectual Property

Gryffi, our logo, and all related trademarks, service marks, and trade names are our property or our licensors'. The Service's look, feel, design, and functionality are protected by copyright and other intellectual property laws.

5.4 Your Content

You retain all rights to content you create using Gryffi ("Your Content"). By using the Service, you grant us a limited license to host, store, process, and display Your Content solely to provide the Service to you.

5.5 Feedback

If you provide suggestions, ideas, or feedback about Gryffi, we may use them without obligation or compensation to you.

7. Acceptable Use Policy

You agree not to use Gryffi to:

  • Violate any laws or regulations
  • Infringe on others' intellectual property rights
  • Transmit viruses, malware, or harmful code
  • Harass, abuse, or harm others
  • Distribute spam or unsolicited messages
  • Impersonate others or misrepresent your identity
  • Collect personal information without consent
  • Interfere with the Service's operation or security
  • Upload illegal, offensive, or inappropriate content
  • Bypass usage limits or access restrictions

We reserve the right to investigate violations and take appropriate action, including suspending or terminating accounts.

8. Data Privacy and Security

Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key Commitments:

  • All data remains within the European Union
  • We never sell your data to third parties
  • GDPR-compliant data processing and protection
  • Data Processing Agreements available for enterprise customers

9. Service Availability and Support

8.1 Uptime Commitment

We strive for 99.5% uptime, excluding scheduled maintenance. Specific SLA (Service Level Agreement) terms are available for enterprise plans.

8.2 Maintenance

We may perform scheduled maintenance with advance notice. Emergency maintenance may occur without notice to address security or operational issues.

8.3 Support

Support is provided via email and in-app messaging. Response times vary by subscription tier. Enterprise customers receive priority support.

10. Termination

9.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial periods.

9.2 Termination by Us

We may suspend or terminate your access immediately if you:

  • Violate these Terms or our Acceptable Use Policy
  • Fail to pay fees when due
  • Engage in fraudulent activity
  • Pose a security risk to the Service or other users

9.3 Effect of Termination

Upon termination:

  • Your access to the Service will cease immediately
  • You remain responsible for any outstanding fees
  • You have 30 days to export Your Content before deletion
  • Provisions regarding intellectual property, liability, and disputes survive termination

11. Warranties and Disclaimers

10.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 No Guarantee

We do not guarantee that:

  • The Service will be uninterrupted, secure, or error-free
  • Results or outcomes will meet your expectations
  • Defects will be corrected
  • The Service will remain available indefinitely

10.3 Your Responsibility

You are responsible for:

  • Ensuring the Service meets your specific requirements
  • Maintaining backups of Your Content
  • Your use of the Service and any consequences thereof

12. Limitation of Liability

11.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

11.2 Excluded Damages

WE SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Cost of substitute services
  • Interruption of business
  • Damages resulting from your use or inability to use the Service

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE) AND EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.3 Exceptions

Nothing in these Terms limits liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Gross negligence or willful misconduct
  • Violations that cannot be limited by law

13. Indemnification

You agree to indemnify, defend, and hold harmless Gryffi, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of third parties
  • Your Content or its use by Gryffi as authorized by you

We reserve the right to assume exclusive defense and control of any matter subject to indemnification.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via:

  • Email to your registered address
  • Prominent notice on our website
  • In-app notification

Changes take effect 30 days after notification. Continued use after this period constitutes acceptance. If you disagree with changes, you may terminate your account.

15. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the Netherlands, without regard to conflict of law principles.

14.2 Jurisdiction

Any disputes arising from these Terms shall be exclusively resolved in the courts of Amsterdam, the Netherlands. You consent to the personal jurisdiction of these courts.

14.3 Informal Resolution

Before initiating formal proceedings, you agree to contact us at info@gryffi.com to attempt to resolve the dispute informally.

16. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Gryffi regarding the Service.

15.2 Severability

If any provision is found unenforceable, the remaining provisions continue in full effect. The unenforceable provision will be modified to reflect the parties' intent.

15.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, war, pandemics, labor disputes, governmental actions, etc.).

15.6 Export Compliance

You must comply with all applicable export and import laws when using the Service.
